El lenguaje de los contratos

Un contrato es un acuerdo, una promesa, a oconjunto de promesas jurdicamente vinculantes queobligan a cada una de las partes involucradas a

cumplir determinadas obligaciones a cambio de laobtencin de determinados derechos. Paragarantizarlo se ha de materializar por escrito y seconvierte, por lo tanto, en un documento

protocolizado. Este acuerdo consta de plazos ycondiciones especficas cuyo cumplimiento estamparado por la ley (Alcaraz, 2002:233; lvarez,1997:45).

Los contratos de arrendamiento

Los contratos de arrendamiento se emiten conrelativa frecuencia y para definir el formato de sugnero se utiliza una categora fundamental que lo

determina como tal, es decir, su macroestructura quese compone de los siguientes elementos a los que deuna vez se les presenta con su denominacinequivalente en ingls:

a. Frmula introductoria (Commencement)

b. Prembulo o exposicin de motivos (Recitals or preamble)c. Seccin operativa (The operative provisions)- Plazo (Term)- Uso y Disfute (Quiet enjoyment)etc.

d. Frmula de conclusin y las firmas (Testimonium and

signatures)

Contratos

Antes de exponer algunos ejemplos, es necesariouniformar trminos pues es comn encontrar ciertossinnimos.

Contratos de arrendam iento

Por ejemplo para el espaol Arrendador se utilizarsolamente Lessor a sabiendas de que tambin podra

utilizarse Landlord. En el caso del Arrendatario, suequivalente ser Lessee aunque tambin podrautilizarse Tenant. Para la propiedad o inmueble que searrienda existen diversos equivalentes como Property,

Premises, Demised property / premises y parasimplificar se utilizar solamente Property.

Previo a la seccin operativa que define a un contrato de

arrendamiento, veamos su forma de introduccin, puestodo contrato debe tener una frmula introductoriadonde se especifican los elementos subjetivos, esdecir, la identidad de cada una de las partes que va afirmar el contrato (lvarez, 45).

La de los contratos en ingls es ms simple que la de loscontratos en espaol con ciertas variantes muy tenues.

Algunos establecen la fecha del contrato en esta secciny otros la colocan al final, lo que comnmente pasa conlos contratos en espaol. Bsicamente las frmulas son:

Algunos contratos describen la propiedad que se va aarrendar dentro de esta frmula introductoria y otros la

describen en una clusula aparte.

LEASE
